Job Description
Paralegal Responsibilities:

Conducting legal research: Corporate Paralegals are responsible for researching legal precedents and laws related to corporate matters, including contracts, securities, and intellectual property.

Drafting legal documents: They help prepare legal documents such as contracts, agreements, and corporate filings, and may also review and edit drafts prepared by attorneys.

Maintaining corporate records: Corporate Paralegals maintain and organize corporate records, including minute books, annual reports, and other legal documents.

Assisting with transaction: They assist attorneys with due diligence, transaction closings, and post-closing matters.

Managing compliance: Corporate Paralegals help ensure the corporation complies with legal and regulatory requirements, such as filing annual reports and maintaining corporate licenses.

Coordinating meetings: They assist with the scheduling and coordination of meetings, including board and shareholder meetings.

Liaising with outside counsel: Corporate Paralegals may act as a liaison between the corporate’s legal team and outside counsel.

Training and supervising other paralegals: They may train and supervise other paralegals or legal assistants.

Assist attorneys with drafting, reviewing, and revising legal documents, including contracts, agreements and leases.

Organize and manage case files, including maintaining electronic and paper documents and ensuring proper document retention.

Prepare and file legal documents with courts and regulatory agencies.

Coordinate with outside counsel, clients, and other stakeholders to gather and exchange information.

Communicate with internal stakeholders to ensure compliance with legal requirements and deadlines.

Provide administrative support, including scheduling meetings, preparing correspondence, and maintaining calendars.
Paralegal Requirements:
-
Associate’s or bachelor’s degree in Paralegal Studies or related field.

7+ years of experience working in a law firm or legal department
-
Strong analytical and research skills, with the ability to synthesize complex information.

Excellent organizational skills and attention to detail

Proficiency with Microsoft Office and legal research databases
-
Ability to communicate effectively, both orally and in writing
-
Familiarity with legal terminology and procedures
-
Ability to work independently and as part of a team.
